Overview
EDScribe Pro LLC operates the EDScribe Pro service for clinical documentation and transcription support. Use of the authenticated EDScribe Pro application to process Protected Health Information requires acceptance of a Business Associate Agreement.
Contracting Entity
The contracting entity for the Business Associate Agreement is EDScribe Pro LLC, doing business as EDScribe Pro.
BAA Acceptance
The Business Associate Agreement is presented for electronic acceptance (click-to-accept) within the EDScribe Pro authenticated application. It is executed under the Electronic Signatures in Global and National Commerce Act (ESIGN) and the applicable state Uniform Electronic Transactions Act (UETA). It does not require wet-ink signatures, notarization, or per-workforce-member execution.
BAA Version
The current Business Associate Agreement template is version 1.2, which includes:
- HHS sample BAA provisions (published January 25, 2013)
- State-law contract formalities (notices, governing law, venue, amendment, assignment, severability, and other terms)
- Safe Harbor de-identification provisions under 45 CFR 164.514(b)(2)
- Sequential re-identification codes under 45 CFR 164.514(c)
- 15-day breach notification to Covered Entity
- 30-day cure period for material violations
Version 1.2 does not promise Expert Determination de-identification unless a written expert opinion is later attached. It does not call a Limited Data Set de-identified. It does not authorize mining of live Protected Health Information.
Governing Law and Venue
The Business Associate Agreement is governed by the laws of the State of Oklahoma, without regard to conflict-of-law rules, except that the HIPAA Rules control on any HIPAA question. The state and federal courts of Oklahoma are the exclusive venue for disputes arising out of the Agreement, except for proceedings by the Secretary of Health and Human Services.
